TRAC Intermodal’s Board of Directors oversees the Chief Executive Officer and other senior management in the competent and ethical operation of TRAC Intermodal on a day-to-day basis to ensure the maintenance of high standards of responsibility and ethics.

Solid principles of corporate governance are key to maintaining investor trust. The Board of Directors of TRAC Intermodal has adopted the following governance documents and committee charters and that, in conjunction with TRAC Intermodal’s articles of incorporation and bylaws, form the governance framework for TRAC Intermodal.

Accounting Controls:

Our internal auditors monitor our system of internal accounting controls. This system is designed to provide reasonable assurance that assets are safeguarded and that transactions and events are recorded properly. Our internal controls include self-assessments and internal reviews of our policies, procedures and financial controls.

Independent Auditors:

Ernst & Young LLP, an independent registered public accounting firm, performs an annual audit and quarterly review of our consolidated financial statements.   Their opinions, as stated in the “Report of Independent Registered Public Accounting Firm” are based on their audits and are printed in our Annual Report and submitted as part of our 10-K filings with the U.S. Securities and Exchange Commission.
